Welcome to WellNest. These Terms of Service ("Terms") govern your access to and use of the WellNest application ("App"), operated by CTRL ALT and FIX (ABN: 54 632 545 705) ("we", "us", or "our"). By accessing or using WellNest, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Eligibility

You must be at least 16 years of age to use WellNest. By using the App, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

2. Account Registration

To access certain features, you may need to create an account. You agree to provide accurate, complete, and current information, and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

3. Use of the App

WellNest grants you a limited, non-exclusive, non-transferable licence to use the App for your personal, non-commercial health tracking purposes. You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorised access to any part of the App or its systems.
• Reverse engineer, decompile, or disassemble any part of the App.
• Transmit any viruses, malware, or other harmful code.
• Use the App to harass, abuse, or harm others.
• Scrape, collect, or harvest data from the App without permission.

4. Health Disclaimer

WellNest is not a medical device and does not provide medical advice, diagnosis, or treatment. The App is designed to help you track and manage personal health information for your own reference. Always consult a qualified healthcare professional for medical advice. Never disregard professional medical advice or delay seeking it because of information provided through the App.

We make no guarantees regarding the accuracy, completeness, or usefulness of any health information or insights generated by the App. You use health-related features entirely at your own risk.

5. Subscriptions and Payments

Certain features of WellNest require a paid subscription. By subscribing, you agree to the following:

• Subscription fees are billed on a recurring monthly basis through our payment processor, Stripe.
• Your subscription will automatically renew unless you cancel before the end of the current billing period.
• You may cancel your subscription at any time through the App's Settings page. Cancellation takes effect at the end of the current billing cycle.
• Refunds are handled on a case-by-case basis at our discretion.
• We reserve the right to change subscription pricing with reasonable notice.

6. Intellectual Property

All content, features, functionality, design, trademarks, and logos associated with WellNest are the exclusive property of CTRL ALT and FIX and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7. User Content

You retain ownership of any data, entries, or content you submit to the App ("User Content"). By using the App, you grant us a limited licence to store, process, and display your User Content solely for the purpose of providing and improving our services. We will not share your User Content with third parties except as described in our Privacy Policy.

8. Availability and Modifications

We strive to keep WellNest available at all times but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the App at any time, with or without notice. We are not liable for any loss or inconvenience caused by downtime or changes.

9. Limitation of Liability

To the maximum extent permitted by law, CTRL ALT and FIX, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, or health outcomes, arising from your use of or inability to use the App.

Our total aggregate liability for any claims related to the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless CTRL ALT and FIX and its affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the App or breach of these Terms.

11. Termination

We may suspend or terminate your access to WellNest at any time, without notice, if we believe you have violated these Terms or engaged in conduct harmful to other users or the App. Upon termination, your right to use the App ceases immediately, though provisions that by their nature should survive (e.g., limitation of liability, indemnification) will remain in effect.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes arising from these Terms or the use of the App shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App and updating the "Last updated" date. Your continued use of WellNest after changes constitutes acceptance of the revised Terms.
